Terms of service

1. Who these terms are between

These terms are between MakeFounders (“we”) and the organisation that subscribes to MakeFounders to run its programmes (“the customer”). People the customer invites, such as founders, mentors, reviewers and investors, use MakeFounders under section 9.

Where the customer has signed an order form or agreement with us, that document takes priority over these terms if they differ.

2. What we provide

We provide the MakeFounders service described on this website, on the plan the customer has chosen. We may improve and change the service, and will not remove a feature a customer relies on without reasonable notice.

3. Pilots

A pilot is free for 90 days and is limited as described on the pricing page. At the end, the customer chooses a plan or stops. If it stops, its workspace becomes read-only and its data stays available to export for a period set out in its agreement.

4. Fees

Fees are annual, per programme or per organisation, as shown on the pricing page or in the customer’s order form, and exclude any taxes that apply. Founders, mentors, reviewers and investors are never charged.

5. The customer’s responsibilities

• To have a lawful basis for the personal data it puts into MakeFounders and to tell the people concerned how it is used.
• To decide who is invited and what role they are given, and to remove people who should no longer have access.
• To keep sign-in details secure and tell us promptly about any suspected misuse.
• Not to upload unlawful material, malware, or special-category personal data.

6. Data

The customer’s data belongs to the customer and its participants. We use it only to provide the service. The customer can export it at any time. Personal data is processed under the data processing agreement, which is summarised on the data processing page, and the privacy notice.

7. AI features

AI features produce drafts and suggestions. They can be wrong. A person should review anything an AI feature produces before relying on it, and nothing an AI feature produces is saved to a record until a person confirms it. The customer can switch AI features off.

8. Availability and support

We aim to keep MakeFounders available and to respond to support requests promptly. During pilots there is no contractual service level; one can be agreed in the customer’s order form.

9. People who are invited to take part

If a programme invites you to MakeFounders, you agree to use it for that programme’s purposes, to keep your sign-in details to yourself, to be honest in what you record, and to respect the confidentiality of other people’s information that you see. What you write and upload remains yours and your startup’s; you allow the programme, and us on its behalf, to use it to run the programme.

10. Intellectual property

We own MakeFounders and its standard framework. The customer owns its own content, including any framework it brings or creates. Nothing in these terms gives us any right in a founder’s business or ideas.

11. Confidentiality

Each side keeps the other’s confidential information confidential and uses it only for the purposes of these terms.

12. Liability

Nothing in these terms limits liability that cannot be limited by law. The limits that otherwise apply will be set out in the final version of these terms and in the customer’s order form.

13. Ending the agreement

The customer can stop at the end of any subscription term. Either side can end the agreement if the other seriously breaches it and does not put that right after notice. When the agreement ends, the customer can export its data, after which we delete it as the data processing agreement provides.

14. Law

The governing law and the courts that hear disputes will be confirmed in the final version of these terms.
